VANIQA TELL-A-FRIEND SWEEPSTAKES OFFICIAL RULES

Eligibility. Open to legal residents of the United States, 18 or older. Not open to employees or immediate family members (spouses, parents, grandparents, siblings, children and grandchildren) of employees of SkinMedica, Inc., or their affiliates, subsidiaries, or partners. Nor is the contest open to healthcare professionals unless they enter as a patient and use the product for personal use.

How to Enter. To enter into the VANIQA Tell-A-Friend Sweepstakes visit www.vaniqa.com, click on the 'Tell a Friend' navigation button, and complete the Tell-A-Friend Online form. Limit four referrals per e-mail submission within a 24 hour period. You will be submitted into the Sweepstakes immediately after any of your referrals register at VANIQA.com. You will be entered each time one of your referrals registers on Vaniqa.com. Online entries must be received by 11:59 p.m. on the last day of that quarter. Incomplete and/or duplicate entries will be void. We are not responsible for inaccurate or incomplete entry information, whether caused by participant or by any of the equipment or programming associated with or utilized in this sweepstakes, or by any technical or human error that may occur in the processing of entries. Mechanically reproduced or automated entries are not permitted and will be deemed void.

Prize. The winner of the sweepstakes will receive a gift basket that includes an assortment of SkinMedica's Aesthetic products. Gift baskets will be tailored to the winner's skin type whether oily, normal or dry. A gift basket will be sent to the winner in a single shipment.

Prize Drawing. A random drawing of three winners will be held on the last day of every 3rd month beginning March 31, 2008. The winners need not be present to win. We will notify the winners by e-mail or certified mail within seven business days of drawing. No transfer or substitution of prize is allowed. If the prize is not claimed within seven business days of notification, or if a winner does not meet eligibility criteria, an alternate winner will be selected.

Odds of Winning. Odds of winning depend on the number of eligible referrals received per registrant at VANIQA.com.

General Terms. Participants release and agree to hold harmless SkinMedica, Inc. , partners and their affiliates, subsidiaries and partners and all of their respective directors, officers, representatives, employees, consultants and agents from any and all liability for any injury, loss or damage of any kind to persons, including death, and property, arising in whole or in part, directly or indirectly, from or in connection with acceptance, possession, use or misuse of any prize, participation in this sweepstakes or any sweepstakes related activity.

Additional Terms. We reserve the right, in our sole discretion, to modify, terminate, or suspend this sweepstakes at any time and for any reason. We are not responsible for any human error that may occur in the processing of the entries, nor are we responsible for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries, whether caused by the sender or any of the equipment or programming associated with or utilized in this sweepstakes. We reserve the right, in our sole discretion, to disqualify any individual found to be tampering with the entry process or the operation of the sweepstakes or web site; to be acting in violation of these rules; or to be acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten or harass any other person. Any use of robotic, automatic, programmed or similar entry methods will void all such entries submitted by such methods. In the event of a dispute as to entries submitted by multiple users having the same e-mail account, the authorized subscriber of the e-mail account used to enter the sweepstakes at the actual time of entry will be deemed to be the participant and must comply with these rules. The authorized account subscriber is deemed to be the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization responsible for assigning e-mail addresses for the domains associated with the submitted e-mail addresses. Only the number of prizes stated herein will be awarded. In the event any technical errors occur in the selection of winner and more prizes are claimed than the number of prizes being awarded as provided herein. We reserve the right to award the prize by random drawing from among all eligible claimants.
